• Board has fixed Thursday, October 01, 2026, as the Effective Date of the Scheme of Arrangement. • The Effective Date is when the certified true copy of the order of the Hon'ble NCLT sanctioning the Scheme will be filed with the Registrar of Companies. • Friday, October 02, 2026, has been fixed as the Record Date. • The Scheme of Arrangement involves the demerger of the Distillery Division and the allotment of shares by the Resulting Company (KM Spirits and Allied Industries Limited) to shareholders of the Demerged Company (K M Sugar Mills Limited). • Resulting Company will issue and allot 1 equity share of face value ₹10 each, for every 5 equity shares of face value ₹2 each held in the Demerged Company.
