SAMVARDHANA MOTHERSON : GERMAN STEP-DOWN SUBSIDIARY ACQUIRES 50.1% EQUITY OF ROTARY CONNECTORS

• Samvardhana Motherson Adsys Tech Limited (SMAST), a wholly owned subsidiary of Samvardhana Motherson International Limited (SAMIL), will acquire 50.1% equity stake in Rotary Connectors Private Limited (RCPL). • The acquisition is from existing shareholders of RCPL, subject to satisfaction of conditions precedent. • Upon completion, SMAST will hold 50.1% of RCPL's equity share capital, making RCPL an indirect subsidiary of SAMIL. • The promoters of RCPL will continue to hold the remaining 49.9% equity stake. • The transaction is expected to be completed by Quarter 4 of the financial year 2026-2027. • RCPL is engaged in manufacturing military-grade circular connectors and interconnection solutions, primarily for the Aerospace and Defence sector. Its turnover for FY 2025-26 was INR 1,235 million.
