KAMINENI HOSPITALS : PROPOSES INTER-SE TRANSFER OF OIL COUNTRY TUBULAR SHARES
• Kamineni Hospitals Private Limited (Acquirer) proposes to acquire 52,25,161 equity shares (9.30%) of Oil Country Tubular Limited from United Steel Allied Industries Private Limited (Promoter/Seller). • The proposed transfer falls under Regulation 10(1)(a)(iii) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. • Acquisition price is Rs 60.00 per fully paid-up equity share of Oil Country Tubular Limited. • The transfer is part of a settlement agreement wherein the seller owes the buyer Rs 36.30 Cr; the proposed transfer is for Rs 31.35 Cr. • Before transaction: seller held 2,14,44,165 shares (38.17% of TC capital). After transaction: seller will hold 1,62,19,004 shares (28.87% of TC capital).
