PRIME FOCUS LTD : STRATEGIC INVESTMENT IN SUBSIDIARIES

• Brahma AI Holdings Limited ("BHL") and Brahma AI Services India Limited ("Brahma India") to receive investments totalling USD 100 million from Multiples Private Equity Gift Fund IV and Multiples Private Equity Fund IV. • Multiples Private Equity Gift Fund IV to subscribe to CCPS of BHL for USD 54,356,600. • Multiples Private Equity Fund IV to subscribe to CCPS of Brahma India for USD 45,643,400. • Following the transaction, PFL will cease to control BHL and Brahma India, though its shareholding in BHL will remain 65.67% on a fully diluted basis. • BHL and Brahma India will cease to be subsidiaries and material subsidiaries of PFL. • The transaction requires shareholders' approval.
