CEAT LIMITED : FURTHER INVESTMENT IN TYRESNMORE ONLINE PRIVATE LIMITED

• CEAT approved an investment of up to ₹460 Lakhs via subscription in Rights Issue of equity shares of its wholly owned subsidiary, Tyresnmore Online Private Limited. • The proposed investment falls under related party transactions as per Section 177 of the Companies Act, 2013 and Regulation 23 of SEBI (LODR) Regulations, 2015, and is at arm's length. • Tyresnmore, a private company incorporated on June 2, 2014, is engaged in the business of selling automotive tyres and accessories. • The company's shareholding in Tyresnmore remains 100% post this investment. • The acquisition involves 37,686 equity shares at face value of ₹1 each, with allotment expected by October 7, 2026.
