ASHOKA BUILDCON: SAKOLI STEP-DOWN SUBSIDIARY ACQUIRES 100% EQUITY OF SAKOLI POWER TRANSMISSION

• Ashoka Buildcon Limited acquired 100% equity stake in Sakoli Power Transmission Limited, a SPV. • The acquisition was completed on September 23, 2026, for cash consideration. • Total consideration of Rs.3.06 Crore including share purchase consideration and relevant expenses and liabilities of SPV till date. • Sakoli Power Transmission Limited is a wholly owned subsidiary of REC Power Development and Consultancy Limited, set up as a SPV for transmission service on Build-Own-Operate-Transfer (BOOT) basis. • Approval has been received from Ministry of Power for share transfer of SPV. • The SPV was formed on July 07, 2025, to establish and develop infrastructure for transmission system by SPV comprising of AIS Sakoli Substation and Associated Transmission Lines.
