JAGSONPAL PHARMA : ACQUIRES WELLNESS PORTFOLIO OF GROUP PHARMACEUTICALS LTD
• Jagsonpal Pharmaceuticals Ltd entered into a Business Transfer Agreement (BTA) with Group Pharmaceuticals Limited for acquisition of its Wellness Portfolio. • Acquisition to be on a going-concern basis by way of slump sale. • Initial consideration of ₹23.7 crores on closing, with additional consideration linked to FY 2027-28 sales of up to ₹23.0 crores, subject to a total consideration cap of ₹46.7 crores. • Turnover of the portfolio for FY 2025-26 was ₹24.6 crores. • Transaction expected to be completed on or before November 1, 2026.
