MUKTA ARTS: INVESTMENT IN SUBSIDIARY VIA SECURITIES SUBSCRIPTION AGREEMENT

• Mukta A2 Cinemas Private Limited, a subsidiary of Mukta Arts, entered into a Shareholders Agreement and Securities Subscription Agreement with Mr. Rajiv Malhotra and Mr. Sunil Shamrao Patil. • The agreement will bring an investment of up to ₹10 crore into Mukta A2 Cinemas. • Post-transaction, Mukta A2 will transition from a subsidiary to an associate company, with Mukta Arts' shareholding reducing to 42%-49%. • No impact on the management or control of Mukta Arts is anticipated.
