• UMCL, a wholly owned subsidiary, to sell its optical fibre and related cables business to R R Kabel Limited • Consideration: ₹77 crore, subject to working capital adjustments • UMCL's FY26 revenue was ₹78.19 Cr (~2.12% of consolidated), net worth ₹35.32 Cr (~1.07% of consolidated) • R R Kabel is a listed company with FY26 revenue of ₹9,722.36 Cr • Transaction is not a related-party transaction and is at arm's length • Aligns with Company's strategy to streamline portfolio and focus on core wire and wire ropes business
