• Board approved draft scheme of amalgamation of Flow Tech Chemicals Private Limited with Primo Chemicals Limited. • Flow Tech is a wholly owned subsidiary of Primo Chemicals. • Appointed date for the scheme of amalgamation is October 1, 2026. • Proposed merger falls within the purview of related party transactions. • No cash consideration or share exchange ratio is applicable as Flow Tech is a wholly owned subsidiary. • Shareholding pattern of the Transferee Company will remain the same post-amalgamation.
