EDELWEISS FINANCIAL SERVICES LIMITED : TRANSACTION CLOSURE UPDATE

• Update on the Transaction Closure – 'Carlyle as Majority Investor in Nido Home Finance'. • Transaction consummated on September 25, 2026, post receipt of regulatory and statutory approvals. • Carlyle (via CA Sardo) invested over ₹2,000 crore (~USD 210 million) in Nido through primary capital infusion and secondary purchase. • Edelweiss will hold ~26% of Nido post completion of primary infusion within 18 months. • Edelweiss to receive a share of upside subject to Carlyle realizing returns above a specified threshold.
