• Public announcement for an open offer to acquire up to 37,83,000 equity shares of Rs. 10/- each of Tusaldah Limited (formerly High Street Filatex Limited) • The offer is made by Mr. Sandeep Jagdishprasad Agrawal and Mrs. Anupriya Sandeep Agrawal at an offer price of Rs. 20/- per share • This represents 26.00% of the expanded equity and voting share capital of the target company • The open offer is triggered by a proposed preferential issue of equity shares and convertible warrants • The total consideration payable by the acquirers will be Rs. 7.56 Cr for full acceptance • The offer is in accordance with SEBI (SAST) Regulations, 2011 Impact: Neutral (Procedural announcement for an open offer triggered by preferential issue.)
