SURAAJ INDUSTRIES LTD : PREFERENTIAL ALLOTMENT IN ASSOCIATE VRV FOODS LIMITED

• Suraj Industries Ltd. approved subscription to 75,850 equity shares of its associate, VRV Foods Limited (“VRV”), at ₹66 per share. • Total consideration for the acquisition is ₹0.50 Cr. • Post-allotment, the company's shareholding in VRV will increase from 20.01% to 20.41%. • The acquisition is considered a related party transaction and is undertaken on an arm's length basis, based on a valuation report dated September 17, 2026. • The transaction is expected to be completed within one month.
