TII : INCREMENTAL INVESTMENT IN SUBSIDIARY WORTH RS 250 CR

• Tube Investments of India Limited (TII) entered into a subscription agreement with its subsidiary, TI Clean Mobility Private Limited (TICMPL) • TII will subscribe to Compulsorily Convertible Preference Shares (CCPS) in TICMPL aggregating Rs 250 Cr • TII has also entered into an Amended and Restated Shareholders' Agreement with the investors of TICMPL • TII was allotted 2.5 Cr Series C CCPS of face value Rs 100/- each in TICMPL • TICMPL is in the electric mobility business, and the fund raising will help scale up its operations • The transaction was conducted at arm's length
