ENDURANCE TECHNOLOGIES LIMITED : ENDURANCE OVERSEAS SPA, ITALY ACQUIRES 100% EQUITY STAKE IN STÖFERLE AUTOMOTIVE GMBH AND STÖFERLE GMBH

• Endurance Overseas SpA, Italy (EOSpA), a wholly owned subsidiary of the Company, has executed an Amendment Agreement to the Share Purchase Agreement dated 12th December, 2024. • EOSpA will acquire the balance 32% equity stake in Stöferle Automotive GmbH and Stöferle GmbH, Germany for a negotiated upfront cash consideration of € 18 million. • Prior to this, EOSpA held 68% equity stake in the Stöferle entities acquired in two tranches. • The Stöferle entities are in the business of machined aluminium castings for automotive applications. • EOSpA will hold 100% stake in each of the Stöferle entities post acquisition.
