• Bluspring New Horizon Two Private Limited ('Transferor') will amalgamate with LSG Sky Chefs India Private Limited ('Transferee') under Section 233 of Companies Act, 2013. • Both companies are wholly owned subsidiaries of Bluspring Enterprises Limited. • Transferor incorporated Feb 9, 2026; Transferee founded 2001, operates in airline catering. • Transferee had FY26 turnover of INR 189.08 Crores (as of March 31, 2026). • Amalgamation between the Company's wholly owned subsidiary and wholly owned step-down subsidiary is exempt under Regulation 23(5)(c) of SEBI Listing Regulations. • Share exchange ratio: 1:1 equity share for equity share. Impact: Simplifies group structure and streamlines operations.
