VARUN BEVERAGES LIMITED : SOUTH AFRICA STEP-DOWN SUBSIDIARY ACQUIRES 100% EQUITY STAKE OF CRICKLEY DAIRY

• The Beverage Company Proprietary Limited (“Bevco”), entered an agreement on March 17, 2026, to acquire 100% equity stake of Crickley Dairy Proprietary Limited (“Crickley”) from Clark Holdings Proprietary Limited (“Seller”). • The transaction aimed to diversify product portfolio into value-added dairy based drinks for an enterprise value of ZAR 238 million (INR 1,314.68 million). • The above-mentioned transaction has been referred to The Arbitration Foundation of Southern Africa (“AFSA”) due to non-fulfillment of a condition precedent by the long stop date of September 30, 2026. • The detailed disclosure as required under Regulation 30 read with SEBI Master Circular dated January 30, 2026 is enclosed as Annexure - I.
