• Alivira Animal Health Limited, Ireland, a step-down wholly owned subsidiary, has completed acquisition of 100% of the share capital of BioForLife Italia S.r.l. (“BFL Italy”) • Transaction completed on October 1, 2026, pursuant to Sale and Purchase Agreement dated July 21, 2026 • Base purchase consideration is EUR 15.0 million and agreed reference net financial position computed as of June 30, 2026 • Balance purchase consideration of EUR 1.976 million is payable as deferred consideration • Representatives of Alivira Animal Health Limited, Ireland have been appointed on the Board of BFL Italy Impact: Acquisition strengthens Viyash Scientific's subsidiary structure and expands its international reach
