CAPITAL NUMBERS : STRATEGIC REALLOCATION OF IPO PROCEEDS TO ACQUIRE SUBSIDIARY

• Company will acquire 100% ownership interest in Epitome Cloud Inc. and its Indian subsidiary. • The acquisition consideration is approximately ₹40 Crore. • Completion is scheduled by September 2028. • The variation broadens the scope of eligible entities for investment in subsidiary Capital Numbers LLC to include Epitome Cloud Inc. and its subsidiaries, with no increase in the earmarked ₹500.00 Lakhs. • An amount of ₹1,146.46 Lakhs unutilised under the IPO proceeds has been reallocated from Issue Related Expenses towards the acquisition.
