• Issue of up to 26,666,667 equity shares to Independent Director, Mr. JrMichael Joseph Commiskey, on preferential basis. • The preferential issue is for consideration other than cash, via share swap. • Up to 19,911,600 equity shares to be issued to shareholders of Magnatech Co. Ltd. for acquisition of 95% stake. • The share swap ratio is 1:12 (1 share of Magnatech for 12 shares of Integra). • Total consideration for Magnatech acquisition is ₹29,867.40 lakh.
