• Pristine Malwa Logistics Park Private Limited (wholly owned subsidiary) has merged with Pristine Logistics & Infraprojects Limited. • The merger was pursuant to an order under section 233 of the Companies Act, 2013 and rule 25 of Companies (Compromise Arrangements and Amalgamation) Rules, 2016. • All assets and liabilities of Pristine Malwa Logistics Park Private Limited, including its investments in Sical Logistics Limited, have been transferred to Pristine Logistics & Infraprojects Limited. • Prior to acquisition, Pristine Malwa Logistics Park held 5,85,72,399 shares in Sical Logistics Limited. • Post acquisition, Pristine Logistics & Infraprojects Limited holds 5,85,72,399 shares in Sical Logistics Limited, representing 73.41% of the total share capital. • Date of acquisition/intimation: October 1, 2026.
