• Navigant Corporate Advisors Limited appointed as Manager to the Offer by Enact Technologies Private Limited (Acquirer-1), Penumatsa Venkata Raju (Acquirer-2) and Boyapati Venkata Lakshmi Narasimha Swamy (Acquirer-3), along with Persons Acting in Concert (PACs). • Open offer for acquisition of 36,92,000 equity shares, representing 26.00% of the expanded equity and voting share capital. • Offer price is ₹72/- per fully paid-up equity share. • Total consideration payable by the Acquirers, assuming full acceptance, will be ₹26.58 Cr. • The open offer is triggered by the execution of a Share Purchase Agreement dated October 05, 2026, for the acquisition of 5,00,000 equity shares, representing 3.52% of the expanded equity and voting share capital. • Upon completion of the acquisition, the Acquirers will acquire control of the Target Company.
