ADANI ENERGY SOLUTIONS LTD: MAHARASHTRA STEP-DOWN SUBSIDIARY ACQUIRES 100% EQUITY SHARES OF SATARA POWER TRANSMISSION LTD

• Adani Energy Solutions Limited (AESL) executed a Share Purchase Agreement (SPA) with PFC Consulting Limited (PFCCL) on October 06, 2026, for acquiring 100% Equity Shares of Satara Power Transmission Limited (SPTL). • This acquisition is proposed to further AESL's strategy for enhancing value for its shareholders through organic as well as inorganic opportunities. • SPTL has been planned to facilitate an additional 765 kV Inter-regional corridor between SR and WR Grids and will enable further additional evacuation of RE power in Karnataka. • The acquisition details are as required under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. • Impact: Positive (Strategic acquisition to enhance AESL's value and expand transmission corridor capabilities)
