• NCLT Ahmedabad bench approves scheme to amalgamate Kilburn Chemicals and Meghmani Crop Nutrition with Meghmani Organics • Both transferor companies are wholly owned subsidiaries of the listed transferee • No consideration shares to be issued; entire share capital and securities of transferors held by transferee to be cancelled • Appointed date for the scheme is 01.01.2026 • Scheme effective once certified NCLT order is received and filed with Registrar of Companies, Ahmedabad • Rationale includes simplifying group structure, integrating operations and deriving operational and financial synergies
