• Company completed sale of its entire 50.74% stake (3,09,001 equity shares) in Swapnil Switches Private Limited on October 9, 2026 • Consideration of ₹2.53 Cr (Rs 2,52,79,372) received from Mrs. Asha Jain, Mrs. Priya Jain and PJ Wealth Management and Consultant Pvt Ltd • Buyers: Mrs. Asha Jain (1,03,001 shares), Mrs. Priya Jain (1,03,000 shares), PJ Wealth Management and Consultant Pvt Ltd (1,03,000 shares) • Swapnil Switches ceased to be a direct subsidiary of the Company from October 9, 2026 • Swapnil contributed 0.87% of turnover, 0.96% of total income and 2.48% of net worth on standalone basis in the last financial year • Transaction is a related party transaction done on arm's length basis as per valuation report • Proceeds to strengthen core business and redeploy into higher-growth two-wheeler or three-wheeler auto opportunities
