PRODOCS: US STEP-DOWN SUBSIDIARY ACQUIRES 100% EQUITY OF EDATA SOLUTIONS

• Prodocs Solutions Inc, USA (WOS) to acquire 40% equity of eData Solutions Inc, USA from promoter Mr. Manan Hiren Kothari. • Deal value up to USD 1.5 million (approx. ₹14.47 Cr), cash consideration; completion by 31 March 2027, subject to shareholders' approval via postal ballot. • Post-acquisition, eData becomes 100% subsidiary of Prodocs Solutions Inc USA; listed company currently holds 60% indirectly. • Target is in IT-enabled services in USA, incorporated 5 March 2013, with turnover of ₹44.09 Cr as on 31 March 2026; board also approved up to USD 1.5 million loan to eData and corporate guarantee for Gemini Innovations up to ₹32 Cr.
