• Bidder Galaxy Germany Holding SE, a wholly-owned direct subsidiary of Persistent, completed voluntary public takeover offer for Nagarro SE • 8,903,259 Nagarro shares tendered, ~71.94% of share capital and voting rights; combined with ~22.10% already secured under share purchase agreement with Lantano Beteiligungen GmbH • Total ~94.04% of Nagarro share capital and voting rights secured, exceeding minimum threshold of 50% plus one share • Persistent plans squeeze-out of remaining minority shareholders upon closing; transaction expected to close by end of Q1 CY27 subject to outstanding regulatory approvals
