• TML CV Holdings B.V. raised offer price to Euro 14.40 per common share (cum dividend) from Euro 14.10, a cash increase of Euro 0.30 • New price declared best and final; will not be increased further • Maximum aggregate disbursement increased by Euro 81,364,620 to Euro 3,905,501,760 for 271,215,400 common shares • Entered credit facility with MUFG Bank Ltd., GIFT Branch for Euro 85,000,000 to fund the additional price • Offer is for all common shares of Iveco Group N.V.; acceptance period commenced 7 September 2026 • Price implies premium of 33.47% over undisturbed price of 17 July 2025 and 6.77% over 29 July 2025 price
