M&M : EMBRAER TO ACQUIRE 51% STAKE IN NOVAVAYU AEROSPACE FOR RS 5.1 L

• Embraer S.A., Brazil to acquire 51% equity stake in Novavayu Aerospace Limited (NAL), a step-down wholly owned subsidiary of M&M • MDSL to receive aggregate consideration of approx ₹5.1 L for sale of its 51% equity stake in NAL • NAL incorporated on 29 July 2026; not in existence in FY26, with no turnover, revenue, income, net worth or profit contribution • Post-deal NAL will cease to be a wholly owned subsidiary and become an associate of MDSL, a step-down wholly owned subsidiary of M&M • Transaction expected to be completed on or before 1 December 2026; buyer is not related to the promoter/promoter group Impact: Neutral (NAL had no revenue or net worth contribution; transaction changes subsidiary status to associate)
