VERANDA : DEMERGER COMPLETES; JSCEL SHARES ALLOTTED IN 1:1 RATIO

• NCLT Chennai bench sanctioned the composite scheme of arrangement on August 20, 2026; scheme effective August 31, 2026, second appointed date September 1, 2026 • JSCEL allotted 9.65 Cr equity shares of Rs.10 each to VLS shareholders as on record date October 06, 2026, in a 1:1 share entitlement ratio • Cost of acquisition to be apportioned 64.50% to Veranda Learning Solutions and 35.50% to J.K.Shah Commerce Education, based on net book value of the demerged undertaking • Allotment of JSCEL shares not treated as transfer for capital gains; holding period of VLS shares carries over to JSCEL shares
