• Board approved MoA with Radiohms Agencies, RAL Consumer Products Ltd and Rajendra Prasad Khaitan (RPK) • MoA records cessation of the distributors as authorized wholesale distributors for Bihar, West Bengal and North-Eastern states, effective 26 September 2024 • Net sum of ₹2.36 Cr (INR 2,35,60,956) payable by the company, including set-off of identified payables and receivables • RPK and distributors to undertake customary non-compete obligations on certain product lines and customary non-solicit obligations • RPK is a promoter group member and related party; transaction undertaken at arm's length
