LORD'S MARK : ACQUIRES RADIOTONE MAKER RADIO ELECTRIC FOR RS 4.5 CR

• Completed acquisition of 100% equity / controlling stake in Radio Electric Private Limited, the maker of the Radiotone brand • Cash consideration of ₹4.50 Cr; transaction is not a related-party transaction • Target founded in 1939 with an 87-year engineering heritage; specialises in variable autotransformers (Variacs), toroidal transformers, voltage isolation transformers and high-current manufacturing • Target is a profitable, debt-free operating business with 40-50 blue-chip domestic accounts and repeat exports across 7 international markets including Europe, USA, Canada, South Africa, Dubai and the Philippines • Brings an operating manufacturing facility at ~50% single-shift capacity, giving headroom to scale without heavy upfront capex • Acquired under the Lighting & Energy Division; adds transformer technology for the BESS segment and in-house component manufacturing for the medical device business
