• Acquirers Omnia Appliances, Graphic Promoters & Developers, Amaira Estate Advisors and MLJ Aeternum to buy up to 26,46,487 shares or 26% of expanded share capital • Open offer price ₹35 per share; total consideration ~₹9.26 Cr assuming full acceptance, payable in cash • SPA signed October 13, 2026 to acquire 18,90,000 shares (24.30% of pre-issue capital) from seller Mehboob Alam at ₹34/share, aggregating ~₹6.43 Cr • Board approved preferential allotment of 20,00,000 shares to Acquirer 1 at ₹34/share (~₹6.80 Cr) • Acquirers to hold 38,90,000 shares or 38.22% of expanded capital post transaction and become joint promoters • Target Comrade Appliances is listed on BSE SME platform; DPS to be published by October 21, 2026
