DRCSYSTEMS : TO ACQUIRE 49% IN SKIZZLE FOR RS 2 CR, DIVEST 49.18% IN INEXTURE FOR RS 1.02 CR

• Board approved acquisition of 49.00% stake in Skizzle Technolabs India Private Limited from existing shareholder(s) for aggregate consideration not exceeding ₹2 Cr • Change from earlier plan to make fresh investment; post acquisition Skizzle will become an associate company • Acquisition to be completed in one or more tranches on or before March 31, 2027, subject to due diligence and approvals • Board approved divestment of entire 49.18% stake in Inexture Solutions Limited; Inexture will cease to be an associate after completion • Inexture turnover ₹1,902.88 L (~₹19.03 Cr) and net worth ₹195.17 L as on March 31, 2026; sale consideration not exceeding ₹1.02 Cr; buyers are individuals not promoter/promoter group • Agreement for sale on or before October 26, 2026; expected completion within 60 days
