• Barbeque Nation MENA Holding Limited, a wholly owned subsidiary domiciled in Dubai, incorporated UFBL UK Limited in England and Wales • UFBL UK Limited became a step-down subsidiary of United Foodbrands after incorporation on October 13, 2026 • Registrar of Companies for England and Wales approved the incorporation and issued the Certificate of Incorporation on October 13, 2026 • UK entity is authorised to set up and operate restaurant business in all formats across the United Kingdom • Share capital is GBP 50,000 divided into 5,000 shares of GBP 10 each; MENA Holding subscribed to all 5,000 shares for 100% holding • Subscription was by cash consideration of GBP 50,000
