TURTLEMINT : INVESTS RS 1.68 CR IN WHOLLY OWNED SUBSIDIARY VIA RIGHTS ISSUE

• Board approved investment of up to ₹149.51 Cr in Turtlemint Insurance Broking Services (TIB), a wholly owned subsidiary • Subscription to rights issue of up to 8,41,715 equity shares at ₹1,776.27/share, including premium of ₹1,766.27/share • Investment to fund TIB's working capital including lease payments for existing properties; in line with IPO objects • TIB is an IRDAI-registered composite insurance broker active in motor, health, life, general insurance and reinsurance • Shareholding remains 100% post-investment; pre-investment 1,59,90,026 shares, post-investment 1,68,31,741 shares • TIB turnover for FY26 was ₹1,072.2 Cr; net worth ₹175.86 Cr as at March 31, 2026
