• Fund Raising Committee meeting on 17 October 2026 to consider allotment of 38,80,000 equity shares to Yash Agro Products Limited (promoter group) • Allotment upon exercise and conversion of 38,80,000 fully convertible warrants at issue price ₹110/share (face value ₹10, premium ₹100) • Total consideration for conversion is ₹42.68 Cr; balance ₹32.01 Cr (75%) payable before allotment, after upfront ₹10.67 Cr (25%) • Shares to rank pari passu with existing equity; subject to lock-in requirements and stock exchange approvals • Preferential issue was approved by members at EGM on 5 May 2026
