POCL : NCLT ORDERS SHAREHOLDER MEETING FOR PLANETFIRST GREEN MERGER

• NCLT Chennai Bench order dated October 13, 2026 directs POCL Enterprises to convene its equity shareholders meeting on Nov 27, 2026 at 10:30 am and unsecured creditors meeting at 12:30 pm • Scheme provides for amalgamation of Planetfirst Green Private Limited (transferor) with and into POCL Enterprises Limited (transferee) under Sections 230-232 of the Companies Act, 2013 • Meetings to be held at the registered office in Chennai through video conferencing; quorum fixed at 30 equity shareholders and 20 unsecured creditors • Meetings of Planetfirst Green equity, preference, secured and unsecured creditors dispensed with; POCL warrant holders and secured creditors meetings also dispensed with • Appointed date for the scheme is April 1, 2026; amalgamation adds Planetfirst Green's Surat unit and expands POCL into Western India • Rationale: vertical integration of PGPL's lead recycling and refining with POCL's lead metal and metallic oxides manufacturing, with better capacity utilisation and cash flow access
