• Board approves transfer of entire shareholding in Kaleyra, Inc. to Tata Communications (Netherlands) B.V. (TCNL). • As consideration, the company will subscribe to and acquire ordinary shares of TCNL at fair market value. • Transaction intended to simplify group structure without changing ultimate ownership. • Ms. Ridhi Sood appointed as Company Secretary and Compliance Officer effective November 1, 2026. Impact: Simplifies group structure.
