VXL INSTRUMENTS : FILES APPLICATION WITH NCLT FOR MODIFIED RESOLUTION PLAN CLAUSES

• SRA NG Organics Private Limited filed an application under Section 60(5) of IBC seeking approval of certain modified clauses of the Resolution Plan • Original plan contemplated merger of NG Organics with VXL Instruments and issuance/allotment of corporate debtor's shares to NG Organics shareholders • Paragraph 43(m) of the September 9, 2026 Approval Order made the merger subject to Companies Act, 2013 procedure, rendering merger-dependent implementation clauses inoperable • Modified clauses do not disturb the financial or commercial terms approved by the Committee of Creditors; SRA has funded the entire consideration under the Resolution Plan • Management of the corporate debtor continues to rest with the Monitoring Committee till receipt of NCLT directions Impact: Neutral (Implementation mechanics under NCLT review; approved financial and commercial terms remain unchanged)
