STYLEBAAZA : BOARD APPROVES SOLAR WOS, RS 65.65 CR WARRANT CONVERSION ALLOTMENT
• Board approves incorporation of a wholly owned subsidiary for solar power generation and other renewable energy businesses • WOS to be named "Sunright Private Limited" or "Sunlight Private Limited"; initial subscription ₹1 L (10,000 equity shares of ₹10 each) • Company to hold 99.90% (9,990 shares) directly, balance 10 shares via nominee, giving 100% beneficial ownership and control • Allots 20 lakh equity shares of face value ₹5 at ₹328.25 each to Cupid Limited, a non-promoter body corporate, on conversion of equity warrants • Total consideration received ₹65.65 Cr; 20 lakh warrants converted out of the remaining 76 lakh warrants allotted • Audit Committee reconstituted; Binata Sengupta appointed additional non-executive independent director for three years
