PFC : RECEIVES RBI NOC FOR REC MERGER SCHEME

• Power Finance Corporation received RBI no objection certificate on October 15, 2026, subject to instructions/conditions specified therein • Scheme provides for merger of REC Limited (transferor company) with and into PFC (transferee company) under sections 230-232 of the Companies Act, 2013 • Respective boards of both companies had approved the scheme, intimated via letter dated June 28, 2026 • Scheme remains subject to other statutory and regulatory approvals and fulfilment of conditions, including approval of respective shareholders and creditors
