• Board approved/recommended subscription by Multiples Private Equity Gift Fund IV to CCPS of Brahma AI Holdings and by Multiples Private Equity Fund IV to CCPS of Brahma AI Services India • Proposed transaction will result in cessation of control over Brahma Holdings and consequently over Brahma India, both unlisted material subsidiaries of Prime Focus • Transfer of shares in Brahma India held by DNEG Parent to Brahma Holdings also proposed • Board recommended material related party transactions including ancillary framework deed, shareholders agreement, and platform license arrangement for Brahma AI Platform • Extraordinary General Meeting convened for Saturday, November 7, 2026, through video conferencing/OAVM for member approval
