SGFINSERVE : APPROVES RS 4.65 CR GIFT CITY UNIT, 15.5% SUCCESSHIP STAKE FOR RS 4.65 CR

• Board approved investment of up to USD 5 million (~₹48 Cr) for a finance company in GIFT City as a wholly owned subsidiary, subject to regulatory approvals • Approved acquisition of 15.5% of Succesship Technologies Private Limited for ₹4.65 Cr cash, expected to close by March 31, 2027 • Succesship deal to build in-house AI and digital capabilities for captive supply chain financing and digital lending, and offer AI-enabled services to corporate and MSME customers • Approved acquisition of 24.5% of SG Enterprise Solutions Private Limited from related party SG Green Buildings for ~₹1.23 L cash; target to become an associate by December 31, 2026 • SG Enterprise Solutions will operate as a group shared services company providing centralised common corporate support services • Board also approved Q2/H1 FY27 unaudited standalone and consolidated results and appointed Alok Bhushan as internal auditor w.e.f. October 17, 2026
