HINDWAREAP : NCLT SANCTIONS COMPOSITE DEMERGER AND AMALGAMATION SCHEME

• NCLT Kolkata bench sanctioned the composite scheme of arrangement between Hindware Home Innovation (demerged/remaining transferor), HHIL Limited (transferee 1) and Hindware Limited (transferee 2) • Consumer products business to be demerged into HHIL Limited; remaining business/undertaking to be amalgamated into Hindware Limited • Appointed date for the scheme is April 1, 2025 • Scheme becomes effective upon filing of the NCLT order with the Registrar of Companies; remaining transferor company to dissolve without winding up • First transferee to allot shares to members for the demerged undertaking and second transferee for the remaining undertaking; shares to be issued in dematerialised form • Companies undertake to list equity shares of HHIL Limited and Hindware Limited on BSE and NSE at the earliest
