• RECPDCL, a wholly owned subsidiary of REC, transferred entire 50,000 equity shares of Nawada Durgapur Power Transmission Limited • Buyer is Shivalaya Construction Limited, which is not part of the promoter or promoter group • Consideration comprises acquisition price of ~₹18.44 Cr including taxes, professional fee and reimbursement of expenses • Share purchase agreement executed and transfer completed on October 16, 2026 • Nawada Durgapur Power Transmission ceased to be subsidiary of RECPDCL and REC with effect from October 16, 2026 • Target's turnover/revenue/income and net worth contribution was negligible in last financial year
