• Bank completed sale of 0.5% stake in PNB MetLife India Insurance Company Limited to MetLife International Holdings, LLC and Barclays entities • Transaction at ₹117.20 per equity share, aggregating to ~₹120.10 Cr • Share Purchase Agreement dated 17 July 2026; Escrow Agreement executed 21 September 2026 • Barclays Wealth Trustees (India) Private Limited acted as Share Escrow Agent and Barclays Bank PLC as Cash Escrow Agent • Sale consideration remitted by MetLife International Holdings, LLC • Transaction completed on 16 October 2026
