J&KBANK : COMPLETES SALE OF 0.5% STAKE IN PNB METLIFE WORTH RS 120.1 CR

• Bank completed sale of shares of PNB Metlife India Insurance Company at ₹117.20 per equity share for a total of ₹120,09,89,186 (~₹120.1 Cr) • Purchaser is MetLife International Holdings, LLC; Barclays Wealth Trustees (India) acted as Share Escrow Agent and Barclays Bank PLC as Cash Escrow Agent • Share Purchase Agreement dated 17 July 2026; escrow agreement executed 21 September 2026; transaction completed on 16 October 2026 • Transaction covers 0.5% stake in PNB Metlife and involved transfer of shares along with remittance of sale consideration from the purchaser • Deal value is ~₹120.1 Cr, all in fully paid-up equity shares of face value ₹10 each
