• Board approved additional investment of ~₹94.42 Cr, or such higher amount as required, to subscribe to rights issue of Rashtriya Metal Industries Ltd (RMIL), a material subsidiary • Cash consideration; proceeds to fund RMIL's general corporate purposes • Shareholding in RMIL moves from 99.5880% pre rights issue to 99.5881% post issue • RMIL manufactures copper and copper alloy strips and coils, exporting to UAE, USA, Thailand, Sri Lanka, Oman, Saudi Arabia, Kenya and Indonesia • RMIL FY26 turnover ₹1,041 Cr, net worth ₹330 Cr, total assets ₹579 Cr as on March 31, 2026; turnover ₹910 Cr in FY25 and ₹688 Cr in FY24 • Transaction is a related party deal done at arm's length; completion within timelines of the subsidiary's rights offer
