• Board approved acquisition of 51.98% of Cogknit Semantics on a fully diluted basis, via share purchase from an existing shareholder and subscription to Series A CCCPS • Aggregate cash consideration not exceeding ₹135.15 Cr; transaction is not a related party transaction • Cogknit develops AI-based battlefield management and situational-awareness systems for the armed forces; Bengaluru-registered, incorporated September 25, 2009 • Target turnover: ₹48 L (FY26), ₹78 L (FY25), ₹2.24 Cr (FY24) • Series A CCCPS of face value ₹10 each to be issued at ₹27,015.71 per share • Completion on or before December 13, 2026, subject to conditions precedent; Cogknit will become a subsidiary
